On September 8, 2022, Leana Wen, M.D., MSc was appointed to the board of directors (the “Board”) of UroGen Pharma Ltd., an Israeli company (the “Company”), to fill a vacancy on the Board and to hold office until the Company’s 2023 Annual Meeting of Shareholders and was also appointed to the Audit Committee of the Board.
In accordance with the Company’s 2019 Officers’ Compensation Policy, Dr. Wen received an initial option grant to purchase 20,000 ordinary shares of the Company (“Ordinary Shares”). The option vests in equal quarterly installments for 12 quarters. Dr. Wen is also eligible to receive an annual retainer of $40,000 for her service on the Board, an additional annual retainer of $7,500 for her service on the Audit Committee of the Board, and an annual option grant to purchase 10,000 Ordinary Shares on the date of each annual shareholder meeting of the Company.
The Company also entered into its standard form of indemnity agreement for directors and officers with Dr. Wen, a copy of which is filed as
Exhibit 10.1 to the Company’s Annual Report on Form 10-K for the year ended December 31, 2021.
